Terms of Service

The NoteKnight website and its applications are a hosted service operated by NoteKnight ("Service"). Your use of the Service is governed by the following Terms and Conditions of Service ("ToS" or "Terms"), as well as by NoteKnight's policies which are incorporated in these Terms of Service. By using the Service, you acknowledge and agree to these Terms of Service.

1. Eligability: Use of the Service is void where prohibited. The Service is intended for users over the age of 13. Children under the age of 13 are not permitted to use the Service unless under the supervision of a parent or legal guardian who agrees to be bound by these Terms of Service. By using the Service, you represent and warrant that:

   • (a) All registration information you submit, including email and username, is truthful and accurate;
   • (b) You will maintain the accuracy of such information;
   • (c) Your use of the Service does not violate any applicable law or regulation, including COPPA where relevant.



2. Accounts: By creating an account on NoteKnight, you take full responsibility for maintaining the security and confidentiality of your account and data, including your username and email address. You are solely responsible for all activities that occur under your account. NoteKnight accounts are for personal, individual use only and are not to be shared with others. You are required to notify NoteKnight immediately of any unauthorized use of your account or breach of security. NoteKnight is not liable for any loss or damage arising from your failure to comply with these responsibilities. We reserve the right to establish limits on data storage and make changes to account policies at our discretion and without prior notice.




3. Responsibilities: When you upload or share content on NoteKnight, such as creating flashcard sets, you assume full responsibility for the content you provide. This includes ensuring that:

   • (a) You have the right to share the content;
   • (b) The content is accurate and does not infringe upon intellectual property rights;
   • (c) The content complies with all relevant laws and regulations;
   NoteKnight is not responsible for the content uploaded by its users and does not endorse any views or information contained in user-generated content. NoteKnight is not responsible for any issues that arise from the content you share or create, including any legal challenges or disputes.

4. Subscriptions: NoteKnight offers a subscription service that provides additional features and benefits ("NoteKnight NOBLE"). By subscribing to NoteKnight NOBLE, you agree to pay the subscription fees and any applicable taxes. NoteKnight reserves the right to change the subscription fees at any time.

   • Canceling: Subscriptions may be canceled at any time. Cancelations take effect at the end of the billing period, subscription benefits will remain until that date, after which your subscription will terminate and your account will automatically downgrade. Canceling can be scheduled from the Stripe customer portal found in the user settings here.
   • Refunds: NoteKnight offers a 7-day money back guarantee for its subscription service. To request a refund contact info@noteknight.com with the email address or username associated with service to begin processing. Refunds will be subject to Stripe's non-refundable processing fee of up to 3.4% + 30¢, which is retained by Stripe, not NoteKnight.
   • Cancelations by us: NoteKnight reserves the right to discontinue service for any member at our discretion and without prior notice.
   • Chargebacks and disputes: NoteKnight's policy is the immediate cancellation of the subscription associated with the dispute without proration. We take fraudulent claims and misuse seriously. We encourage users to contact us first with billing concerns before initiating a dispute with their bank or lender. This approach helps in resolving issues amicably and efficiently.

5. Prohibited Content: NoteKnight is dedicated to providing a safe and educational environment. Content that violates our community standards is strictly prohibited and may lead to action such as content removal, account termination, or legal steps. Prohibited content includes, but is not limited to, the following:

   • Offensive Material: Content promoting discrimination, bigotry, racism, or harm against any individual or group.
   • Harassment and Abuse: Content harassing or advocating harassment of others.
   • Inappropriate Content: Material that is sexually explicit, excessively violent, or otherwise offensive.
   • Personal Information Violations: Sharing personal information of minors or posting information compromising privacy or security.
   • Consent Violations: Posting others' data without their explicit consent.
   • Intellectual Property Infringements: Content infringing upon intellectual property rights, including unauthorized use of copyrighted works.
   • Deceptive Practices: Sharing knowingly false or misleading information.
   • Illegal Activities: Content promoting illegal activities, threats, obscenity, defamation, or libel.
   • Spam and Unauthorized Communications: Sending or promoting unsolicited messages, chain letters, or spam.
   • Unlawful Use: Engaging in criminal activities or providing instructions on illegal activities.
   • Unauthorized Commercial Activities: Conducting commercial activities such as advertising, contests, or sales without prior consent from NoteKnight.
   • Legal Compliance: Any content violating applicable laws or regulations.



6. Prohibited Activities: NoteKnight is dedicated to educational and study-related use. We strictly prohibit activities that compromise this purpose or violate legal and ethical standards. NoteKnight reserves the right to determine and enforce against inappropriate use of its platform. Engaging in the following activities may result in account termination, legal action, or reporting to authorities:

   • Illegal or Unethical Conduct: Involvement in criminal activities, fraud, harassment, or actions infringing on the legal rights of others.
   • Security Breach Attempts: Attempting to circumvent or disrupt NoteKnight's security, or assisting others in such activities.
   • Impersonation: Falsely representing yourself as another user or individual.
   • Account Misuse: Using another user’s account information or sharing your account details with others.
   • Harassment and Abuse: Using information from NoteKnight to harass, abuse, or harm others.
   • Malicious Software: Using or distributing software that harms or interrupts the service or other users, like viruses or malware.
   • Automated and Unauthorized Use: Engaging in automated content creation or unauthorized commercial use of the platform.
   • Service Disruption: Interfering with, overburdening, or causing harm to NoteKnight or its networks and services.
   • Unauthorized Commercial Use: Displaying unauthorized advertisements or soliciting others for commercial gain without explicit permission.
   • Content and Service Misuse: Copying, reselling, or exploiting any content and services of NoteKnight for commercial purposes without proper authorization.
   • Legal Compliance Violation: Using NoteKnight in ways that violate applicable laws or regulations.



7. Licence: By uploading content on NoteKnight, such as creating flashcards, you grant NoteKnight a worldwide, perpetual, royalty-free license to use, reproduce, store, display, modify, create derivative works, and distribute your content on NoteKnight for the purposes of operating, developing, providing, and using the NoteKnight platform. NoteKnight may use this content for various purposes, including but not limited to, promoting, enhancing, or developing its services, without any obligation to compensate you.




8. Disclaimer: NoteKnight does not and can not monitor all content uploaded. NoteKnight does not represent or endorse the content posted, nor believe any materials to be accurate, useful or non-harmful. Content on NoteKnight may be offensive, inappropriate, or contain errors. Users should be aware that some content may infringe upon the intellectual property rights of others or be subject to additional terms and conditions. We disclaim any liability for damages resulting from the use of our service or the content posted on it. Users encountering content that violates our Terms are encouraged to report their findings to info@noteknight.com.
